California-based Books Inc., which filed for Chapter 11 bankruptcy in January, is currently seeking approval from a bankruptcy court that Barnes & Noble will buy for $3.25 million, according to a press release from a bookstore.

Barnes & Noble confirmed that Books Inc. will continue to operate nine locations if the acquisition is approved this fall.

The 174-year-old bookstore chain, the Bay Area’s oldest independent bookstore chain, filed for bankruptcy earlier this year, citing rising operating costs and “changes in consumer purchasing habits exacerbated by the community pandemic.”

“The agreement ensures that Book Inc.’s legacy will continue for the near future,” said Andy Pelham, CEO of Books Inc. “Barnes & Noble’s deep resources and world-class support allow Books Inc. to be able to modernize its operations quickly, allowing us to focus on doing our best.

The proposed acquisition of Books Inc. has been added to Barnes & Noble’s expansion strategy in recent years. In 2024, the company said it purchased a ragged Denver-based cover bookstore.

“Books Inc. has a renowned history and great bookstores and we are extremely pleased to ensure their continuity,” said James Daunt, CEO of Barnes & Noble. “We look forward to welcoming Booksellers of Books Inc. to Barnes & Noble.”

Barnes & Noble has expanded its physical footprint apart from the struggling retailer purchases. In April, the company announced that it would open 60 new stores in 2025, following a period of “strong sales” at existing stores.
